Terms of Service

These Terms govern LogiShell websites, hosted services and accompanying clients (the “Service”). Operator details: LogiShell LTD is the proposed company name in England and Wales. Company registration is in progress; the registered number and office address appear here as soon as Companies House issues them. Contact: hello@logishell.com.

1. Agreement and eligibility

You accept these Terms when you explicitly accept them in the Service or place an order that incorporates them. Our Privacy Policy explains personal data handling; acknowledging it is not consent to optional analytics or marketing. You must be at least 16 and legally able to enter this agreement. If local law requires an older age or parental authorisation, that requirement applies. If you act for an organisation, you confirm authority to bind it.

2. Accounts and workspaces

Provide accurate account information, protect your credentials, and promptly report suspected unauthorised access. You are responsible for activity you authorise and for reasonable security of your account. Organisation administrators may control membership, permissions and shared workspace content. Keep a separate copy of information you need before leaving a workspace. Do not share credentials or impersonate another person.

3. Automation, AI and connected services

LogiShell helps you compose and execute logic, use AI assistants, and connect devices and third-party services. Available features depend on your client, plan and configuration. You control which resources and permissions you connect. Authorise only actions you are entitled to perform, review proposed changes, and maintain backups before running automation with access to important data or systems.

AI output can be inaccurate, incomplete, insecure or similar to output provided to others. Review and test it before relying on it. The Service does not provide professional legal, medical, financial or other regulated advice. Do not rely on unattended automation for safety-critical decisions or use it as the sole basis for decisions with significant effects on people.

External providers, plugins, models, repositories and payment networks have their own terms and privacy practices. Enabling an integration may transmit the content and credentials needed for its function. Your use of third-party services does not give us control over their availability or actions.

4. Content and intellectual property

You retain your rights in content you provide. You grant us a non-exclusive licence to host, copy, transmit and process it only as needed to deliver, secure and support the Service, follow your instructions and comply with law. You must have the rights and permissions needed to upload content and process personal data concerning others.

Sharing a workspace or publishing a link makes the selected content available to its recipients. Public links can be forwarded, indexed or copied. Revoking access cannot remove copies already made by others. Do not publish secrets or personal data without authority.

LogiShell and its licensors retain rights in the Service, branding and materials other than your content. Open-source components remain subject to their respective licences; these Terms do not restrict rights those licences grant.

5. Local data, encryption and recovery

Storage and encryption depend on the feature used. “Private” visibility alone does not mean end-to-end encryption. Only features that explicitly describe client-side encryption should be treated as such. For those features, losing every supported unlock or recovery method may make the content permanently inaccessible. We cannot restore keys we do not hold. Content you decrypt and send to a model or integration is processed by that destination. Keep backups and protect your devices and recovery methods.

6. Acceptable use

Do not use the Service to commit fraud, infringe intellectual property or privacy rights, distribute illegal content or malware, harass people, send unsolicited bulk messages, steal credentials, evade access controls or billing limits, or disrupt systems. Do not test systems you do not have permission to test. Report suspected vulnerabilities privately to hello@logishell.com; a report does not authorise access to other users’ data.

Comply with export controls and sanctions applicable to you and to the Service. Do not use or supply the Service to a person or destination where applicable law prohibits it. We may restrict access when required by law or to address a substantiated abuse or security risk.

7. Charges, subscriptions and refunds

Paid features are available only where offered. The checkout or order specifies the seller, currency, taxes, charges, usage limits, billing period and any automatic renewal. No subscription renewal or withdrawal-right waiver arises solely from accepting these Terms. Where subscriptions renew, cancel through the available billing controls or contact hello@logishell.com before the next renewal. Cancellation stops future renewals; statutory refund rights remain.

Usage-based services may incur charges when you authorise a run or third-party resource. Prepaid credits, where offered, are for Service usage and are not a bank deposit or investment. Any expiry and refund conditions must be disclosed before purchase. We will notify you before material changes to recurring prices take effect.

For consumers, mandatory cancellation, repair and refund rights apply. Where UK or EEA distance-contract rules provide a 14-day withdrawal period, it is not automatically waived by signing in or starting a plan. Any request for immediate supply and acknowledgement of a lawful loss of withdrawal rights must be obtained separately at checkout. Digital services and digital content may have different rules. Where cryptocurrency payments are offered, verify the network, asset and destination before sending. Blockchain transfers cannot be reversed on the network, but this does not remove a legal obligation to provide a refund. We will arrange a lawful refund method where required. Network fees and third-party wallet risks are disclosed or governed by the relevant provider.

8. Availability and changes

We use reasonable care and skill in providing the Service. Unless an order provides a specific service level, we do not promise uninterrupted availability. Beta features may change or be withdrawn. We will give reasonable advance notice of material reductions to paid functionality where practicable, and provide remedies required by law for services already paid for.

9. Suspension, termination and data

You may stop using the Service at any time and request account closure at hello@logishell.com. We may suspend or terminate access for a material breach, non-payment, or a legal or security risk. Where practicable, we will explain the reason and allow a reasonable opportunity to resolve it; urgent protective action may be immediate. You may challenge a restriction at hello@logishell.com.

Export information you need before closing your account. Deletion and retention are described in the Privacy Policy, including records needed for legal obligations and disputes. Termination does not remove accrued payment obligations or mandatory refund rights. Provisions that need to survive termination, including ownership, payment and dispute provisions, continue to apply.

10. Warranties and liability

Nothing in these Terms excludes rights or liability that cannot lawfully be excluded, including liability for fraud, death or personal injury caused by negligence, or mandatory consumer remedies. For consumers, we are responsible for foreseeable loss caused by our breach or failure to use reasonable care and skill, subject to applicable law.

For business users, to the extent permitted by law, the Service is provided without implied warranties beyond those expressly agreed. We are not liable for indirect or consequential loss, lost profits, lost business opportunities, or loss resulting from third-party services outside our reasonable control. Our aggregate liability arising from the Service is limited to the greater of GBP 100 and the fees you paid us for the affected Service in the 12 months preceding the event. These limitations do not apply where prohibited by law.

11. Business claims

If you use the Service for business, you will cover reasonable third-party claims and costs arising from content you supplied unlawfully or your material breach of section 6, to the extent caused by you. We will promptly notify you, permit reasonable participation in the defence, and will not agree a settlement imposing obligations on you without your consent. This clause does not apply to consumers or losses caused by our own breach.

12. Updates and general terms

We publish dated versions of these Terms. Material changes will be brought to your attention before they apply, with renewed acceptance where appropriate. Changes do not retroactively remove accrued rights. If you do not accept a material change, you may stop using the Service and retain applicable refund rights.

If a provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. Neither party may transfer obligations in a way that reduces the other party’s mandatory rights. An applicable signed enterprise agreement takes priority over conflicting provisions here.

13. Law, disputes and contact

The laws of England and Wales govern these Terms. Business disputes are subject to the courts of England and Wales. Consumers retain mandatory protections and the right to bring proceedings in courts available under the law of their country of residence.
